Where to Incorporate?

Depending on the nature of your business, incorporation can be done either provincially or federally. Federal company incorporations are usually preferred when the company is carrying on business in several provinces. With a federal incorporation, you must still register your business in all provinces in which it operates. For most local or regional businesses, incorporation is simpler if done provincially.

Choosing a Company Name

You can choose to have a numbered company or an actual name. With an actual name, you will have to have a search done to make sure the name doesn’t conflict with other similar names. This step is not necessary if you are simply choosing a numbered company, since numbers are assigned and there is no duplication. If you choose a numbered company, you can always change it to a named company in the future.

If you are a professional, you will want to incorporate a professional corporation. This type of corporation will contain the person’s name, such as “J.E. Fletcher Professional Corporation”. Professional corporations are formed for the following professions:

If you choose an actual name for your company, we will help you obtain your Nuans report, which lists all businesses with similar names. We will advise you whether the name you have chosen may lead to potential objections from other companies.

The simplest way to avoid these problems is to choose a very unique name.

Business Corporation Structure

Once you have chosen your name, we will consult with you to determine:

  • The types and amounts of shares each of the shareholders will have
  • The rules for transferring shares among shareholders
  • The directors of the corporations
  • The type of business the company can conduct and any restrictions on the type of business
  • Other rules and regulations specific to your situation

Time to File

After meeting with you to evaluate all the above issues, we will file the company incorporation documents on your behalf and you’ll likely have your certificate of incorporation within a couple weeks. We’ll then set up your minute book and registered office.
